Welcome to IRL Proximity by Interfacing Research Laboratory Ltd (“IRL,” “we,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, browser extensions, and related services (collectively, our “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

2. Eligibility and Account Registration

Eligibility:
You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you have the legal capacity to enter into these Terms.

Account Creation:
Certain features of our Services require an account. When creating an account, you agree to:

• Provide accurate, current, and complete information;
• Maintain the security of your password;
• Promptly update your account information to keep it accurate; and
• Accept responsibility for all activities that occur under your account.

Account Use:
Your account is for your personal or internal organizational use only. You may not transfer your account to anyone else or allow another person to use your account.

3. Description of Services

Proximity is a spatial research surface that turns Are.na blocks into programmable, multiplayer grids. It sustains complexity instead of flattening it. Unlike "second brains" or productivity apps, it is a living interface where ideas are arranged in space, worked with in real time, and cultivated together. With full Are.na integration, Proximity transforms collecting into shared memory and living arguments.

Any outputs, visualizations, or summaries provided by the Services are for informational purposes only; you are responsible for reviewing these for accuracy, appropriateness, and compliance with applicable laws or policies.

4. Rights to Use the Services

Limited License:
Subject to these Terms, IRL grants you a non-exclusive, revocable, non-transferable, limited right to access and use the Services for your personal or internal business purposes.

Restrictions:
You agree not to:

• Resell or sublicense the Services;
• Use the Services for illegal or unauthorized purposes;
• Reverse engineer or decompile any portion of the Services, unless expressly allowed by law;
• Interfere with the operation or security of the Services.

5. User Content and Outputs

• Professional Judgment:
  Outputs or suggestions surfaced by the Services are assistive and do not constitute advice. You are responsible for reviewing and, where appropriate, revising any content before use or distribution.
• Accuracy and Completeness:
  The Services may surface information that is outdated, incomplete, or sourced from third parties. Always verify critical details for correctness and fairness.
• Limitations:
  Features and capabilities may change over time; functionality may vary by plan, region, or device.

6. Prohibited Uses of the Services

You may not use the Services in any manner that:

• Infringes on any intellectual property, privacy, or other rights of any individual or entity;
• Violates applicable laws or regulations;
• Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or objectionable;
• Violates any guidelines or content restrictions for publicly accessible areas of the Services;
• Is inconsistent with your role (e.g., using the Services to create commercial products not authorized by IRL);
• Jeopardizes the security of your account or another user’s account;
• Seeks to obtain login credentials or other security information of another user;
• Threatens or compromises any computer network or security;
• Runs automated processes that hinder the performance of the Services or introduces harmful code; or
• Attempts to decompile or reverse engineer the Services in violation of applicable law.

A violation of these restrictions may result in immediate suspension or termination of your account.

7. Data Privacy and Protection

• General Privacy:
  Please review our Privacy Policy for details on how we collect and use personal data.

• Compliance with Laws:
  You are responsible for ensuring your compliance with any applicable data protection laws in your jurisdiction.

8. Intellectual Property

• IRL Ownership:
  Proximity, including all original content, features, and functionality, is and remains the exclusive property of Interfacing Research Laboratory Ltd and its licensors. It is protected by copyright, trademark, and other laws.
• Your User-Generated Content:
  Any content, materials, or resources you create or upload using the Services ("User-Generated Content") remains yours. IRL does not claim ownership of your User-Generated Content. You retain all rights to use, distribute, and modify your content outside of the Services.
• License to IRL:
  By posting or uploading User-Generated Content to any areas of our Services intended for public sharing, you grant IRL a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely to operate and improve the Services. This license survives termination of your account but only for the limited purposes described here.

9. Plans, Payment, and Refund Policy

IRL offers free access to certain features of IRL Proximity. Upgraded features are available under subscription plans.

Billing:
By subscribing to a paid plan, you authorize IRL to charge the applicable subscription fees to your chosen payment method. Recurring subscription fees will automatically renew unless canceled in accordance with these Terms.

Refunds:

• Monthly Subscriptions:
  • If you cancel within 14 days of the initial payment and have not accessed Pro features, you may be eligible for a full refund.
  • After 14 days, no refunds will be given, and access continues until the end of the billing period.
• Annual Subscriptions:
  • If you cancel within 30 days of payment and have not accessed any paid features, you may be eligible for a full refund.
  • If any paid features were accessed or more than 30 days have passed, no refunds will be provided, and access continues until the end of the subscription term.
• Organizational/Institutional Subscriptions:
  • If you cancel within 30 days of payment and no users within your organization have accessed any paid features, you may be eligible for a full refund.
  • Otherwise, no refunds will be given, and access continues until the end of the subscription period.

Termination for Inactivity:
IRL may terminate or suspend accounts that are inactive for 6 years. If your account is terminated due to inactivity, stored data may be deleted, and no refund will be issued.

10. Termination

• Termination by You:
  You may terminate your account or unsubscribe from a paid plan at any time via your account settings or by emailing support@interfacingresearchlaboratory.com.
• Termination by IRL:
  IRL may suspend or terminate your access immediately if you breach these Terms or if required by law. We may also terminate or suspend your account for inactivity as noted above.
• Survival:
  Upon termination, any provisions in these Terms that should survive by their nature (e.g., indemnity, limitation of liability, intellectual property provisions) will remain in effect.

11. Force Majeure

IRL shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, or accidents.

12. International Use and Legal Compliance

Although IRL is based in the United Kingdom, you can access Proximity from other countries. If you access our Services from outside the UK, you are responsible for compliance with local laws. IRL makes no representation that the Services are lawful or appropriate for use in other locations.

13. Indemnification

You agree to indemnify, defend, and hold harmless IRL, its officers, directors, employees, agents, and third parties from and against all losses, costs, liabilities, and expenses (including reasonable attorney’s fees) arising from or relating to:

• Your violation of these Terms;
• Your creation or use of User-Generated Content;
• Your violation of any applicable law or regulation; and
• Your misuse of the Services.

IRL may assume the defense of any claim subject to indemnification, in which case you will cooperate with IRL in asserting any available defenses.

14. Warranty Disclaimer

Proximity and all associated content and services are provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law:

• IRL disclaims all warranties (express or implied), including warranties of merchantability, fitness for a particular purpose, and non-infringement.
• IRL does not warrant that the Services will meet your requirements, operate continuously, or be error-free.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these disclaimers may not apply to you.

15. Limitation of Liability

To the maximum extent permitted by law, IRL and its licensors or suppliers shall not be liable for any indirect, special, incidental, consequential, or punitive damages (including lost profits or data) arising out of or related to your use of (or inability to use) the Services. In no event shall IRL’s aggregate liability exceed the greater of:

• One Hundred U.S. Dollars (USD $100), or
• The total fees you paid to IRL for the Services in the 12 months preceding the event giving rise to liability.

Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so this limitation may not fully apply to you.

16. Governing Law and Dispute Resolution

Governing Law:
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

Dispute Resolution:
The parties agree to use reasonable efforts to resolve disputes amicably. If a dispute cannot be resolved informally, it shall be finally settled by arbitration in London under the auspices of a mutually agreed-upon arbitration organization, applying its Consumer Arbitration Rules.

No Class Actions:
You and IRL agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Limitation on Damages:
The arbitrator shall have no authority to award damages other than actual compensatory damages.

17. Changes to These Terms

We may revise these Terms from time to time by posting an updated version on our website and updating the “Last Updated” date above. Your continued use of the Services after any such changes indicates your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.
